Terms & Conditions


The Provider, in the course of its business activities, offers professional services in social networking and blog management. It has the experience, expertise and resources required to provide these services. Both parties express their interest in entering into this Agreement and agree to comply with the following terms and conditions:


Scope of Services

Provider agrees to provide the following social media management services to Client:

Facebook, Google My Business and Instagram business page management.
E-commerce management.
Website development.
Administration of online promotions and advertising, including the creation and management of advertising campaigns. Note: The cost of promotions will only cover 20% of the advertising campaigns included in this package. Any additional campaigns will have an additional cost that will be the responsibility of the Client.
Regular interaction with the client, including monthly strategy meetings and daily email communication during working hours (Monday to Friday), with a response time of up to 48 hours.

Generation of monthly reports within the first ten (10) days of each month, including social media data analysis, ad campaign results and engagement metrics.
Term and Termination

The initial term of this Agreement will be on a month-to-month basis. Unless otherwise specified, this Agreement shall automatically renew for successive periods unless either party gives written notice of its desire to terminate at least THIRTY (30) DAYS prior to the end of the current term.

Pricing, Billing and Payment

The Client agrees to pay the agreed amount for the selected package, which does not include Value Added Tax (VAT). Any additional services not specified in this Agreement will be invoiced separately. The Supplier shall issue monthly invoices on the first day of each month. Client agrees to make payment by wire transfer, check or money order within the first five (5) days of each month. Payments more than ten (10) days late will incur a 10% surcharge on the subsequent invoice.

Nature of the Relationship

The relationship established by this Agreement is purely professional and commercial, it does not imply any employment relationship. The Supplier operates independently, using its own professional judgment, except for specific technical aspects defined by the Client.

Obligations of the Parties

Provider’s Obligations: Provider agrees to provide services through qualified professionals, maintain the security of Client’s accounts, assume responsibility for damages caused by its own actions, and comply with all obligations specified in this Agreement.
Client’s Obligations: Client agrees to maintain a cooperative attitude towards Provider, provide necessary account credentials, share required resources or information, assume responsibility for damages caused by its own actions, and comply with all obligations set forth in this Agreement.

During the term of this Agreement, Client agrees not to engage the services of another professional for tasks similar to those provided by Provider.


If the Client breaches the exclusivity obligation, it shall indemnify the Supplier as follows: return of the financial amount received within one month and payment of liquidated damages of $1,000.

Termination of the Agreement

This Agreement may be terminated by mutual agreement, cessation of the legal personality of the Client or the Supplier, a serious breach of contractual obligations by either party, or breach of loyalty and exclusivity by the Client.
